广西壮族自治区人民政府令第8号


第一条 为了扩大吸收外商直接投资,引进先进技术设备和科学管理方法,促进本自治区经济结构调整的步伐。根据中华人民共和国有关法律、法规的规定,特制定本办法。
第二条 本办法所指的外商,是指外国的公司、企业、其他经济组织和个人。
第三条 向外商有偿出让国有工业企业(以下简称企业)的产权,必须遵循自愿、平等、互利的原则。
第四条 向外商有偿出让企业产权,应在不影响完成国家指令性计划,不影响本自治区经济发展的前提下进行。必须有利于贯彻中华人民共和国产业政策,有利于采用先进技术和设备,有利于改善经营管理,提高经济效益,有利于发展国际市场,扩大出口。
第五条 企业自愿提出和当地政府、国有资产管理部门(未成立国有资产管理机构的,由财政部门)认为需要出让的企业都可以向外商有偿出让。
已经实行承包或租赁的企业,应在承包或租赁期满后再行出让产权。对确需出让的,应按法律、法规的规定,先中止承包或租赁合同,再行出让。
第六条 本办法所指的企业产权有偿出让,是指对企业的有形资产和无形资产进行让渡的一种经济行为。企业可以出让全部产权,也可以出让部分产权。部分出让的,外商持有产权的比例一般不得低于企业全部产权的25%。
第七条 向外商有偿出让企业产权可选择下列方式:
(一)出资购买式出让。即外商一次性出资购买企业产权。对资产数额大的,可以分期付款;
(二)参股式出让。即外商通过参股方式购买产权;
(三)承担债务式出让。即以外商承担企业债务为条件接收企业产权;
(四)产权出让双方商定的其它方式。
第八条 凡确定向外商出让产权的企业,均需进行资产评估。资产评估由持有自治区国有资产管理部门颁发的国有资产评估许可证书的资产评估公司、会计师事务所、财务咨询公司、审计事务所等机构进行。资产评估结果,需经同级国有资产管理部门审核认可;未成立国有资产管理部
门的地方,由同级地方财政部门审核认可,方为有效。
第九条 资产评估可以分为有形资产评估和无形资产评估。有形资产评估可采用以下几种办法:
(一)重置成本法,即按资产全新的情况下和现价或重置成本,减去已使用年限的折旧额来确定被评估资产的价值;
(二)现行市场法,即按照市场上近期发生的类似资产的交易价来确定被评估资产的价值;
(三)预期效益法,即按预期利润率的现值来确定被评估资产的价值;
(四)按国际惯例或双方商定并经本自治区国有资产管理部门认可的办法进行评估。
以上几种办法可以互相检验,也可以单独使用。
企业的无形资产评估采用绝对值估价法,即按出让方为研制无形资产项目所耗费的成本和期望获利能力确定价格,一次性加到出让底价内。
企业资产评估工作的具体办法,由本自治区国有资产管理部门另行制定。
第十条 出让产权的企业,按照中华人民共和国和本自治区的有关规定同时转让企业的土地使用权。土地使用权的转让,按照《中华人民共和国城镇国有土地使用权出让和转让暂行条例》和《广西壮族自治区实施〈中华人民共和国城镇国有土地使用权出让和转让暂行条例〉办法》的有
关规定办理。
第十一条 外商购买企业产权的付款方式,应当用外币支付,但外商在中华人民共和国投资已获利取得人民币的,也可用人民币支付,并应在合同生效之日起三个月内一次性出资付清;数额较大,一次付清确有困难的,经对外商的资信审查确实并取得有效担保人前提下,可以分期付款
。分期付款的最后期限不得超过两年,第一次交款数额不得低于全部价款的40%,并应在出让合同生效之日起三个月内交清。缓交部分应参照银行同期贷款利率交付利息,逾期不交者按合同规定承担违约责任。
第十二条 外商购买企业产权出资的外币,按缴款当日中华人民共和国外汇管理局公布的外汇牌价折算成人民币,由中国银行南宁分行监督收付,按《中华人民共和国外汇管理暂行条例》和有关管理办法的规定管理使用。
第十三条 产权转让的程序
(一)企业经其主管部门同意向县级以上(含县级,下同)国有资产管理部门(未成立国有资产管理机构的,由同级财政部门)提出向外商有偿出让产权的书面申请,或者由企业产权所有权代表者提出申请;
(二)国有资产管理部门(未成立的,由财政部门)接到申请后,应在三个月内对企业的情况进行审查,经计划部门和行业主管部门确认并经当地人民政府审核同意后,报本自治区人民政府或其授权的机关批准,并抄送本自治区有关部门;
(三)企业获准向外商出让产权后,应立即清理债权债务,将出让意向通知所有债权人,所欠债务应于出让合同签署前达成还款协议。然后对企业资产进行评估,确定出让底价;
(四)以底价为基础,通过产权交易市场或招标市场(未成立产权交易市场的地方,由国有资产管理部门或政府授权的部门)向外商发布和招标,通过招标投标或协议确定成交价。出让的成交价须经国有资产管理部门(未成立的,经财政部门)确认;
(五)企业产权向外商出让洽谈成交后,双方须签订企业产权出让合同。合同内容应包括:企业概况、出让方式、出让价格、付款方式、付款截止日期、原有债权债务处理、职工安置办法、违约责任以及双方商定的其他事项。企业出让产权的合同应经公证机关公证;
(六)凡需转让专利技术或专有技术的,须先经有关部门批准后签订技术转让合同,并须经本自治区对外经济贸易委员会(以下简称经贸委)或中华人民共和国经贸部批准;
(七)产权交接,产权的出让方和受让方、国有资产管理部门(未成立的,由财政部门)、公证部门的代表均须参加,并据实填列《财产交接清册》,各方签字盖章后由有关部门存档。交接手续应在出让合同生效三个月内办理完毕;
(八)向外商出让产权后,原企业应向工商行政管理部门申请注销登记;
(九)向外商出让企业产权后,原企业应根据出让的不同方式向承保各项保险的保险公司申报,办理批准手续或退保手续。被出让企业经批准成立外资企业或中外合资经营企业的,按中华人民共和国有关规定办理各项保险;
(十)外商受让企业全部产权后,应按照中华人民共和国关于开办外资企业的有关程序报区经贸委审批。受让企业部分产权或投资入股、参股的,应设立中外合资经营企业,并将合营的合同、章程报区经贸委审批。在本自治区经贸委批准并发给批准证书后,外商应向中华人民共和国工
商行政管理部门申请企业法人登记。
第十四条 产权出让期间,企业的领导和职工应坚守岗位,确保生产经营活动的正常进行,不准与外商私下交易,不准私分公物、滥发奖金实物以及其它使国有资产受损失的行为,违者给予严肃处理。
第十五条 产权全部出让后,经批准成为外资企业的,享受中华人民共和国规定的外资企业的各种优惠待遇。
产权部分出让,经批准为中外合资经营企业的,享受中华人民共和国规定的中外合资经营企业的各种优惠待遇。
外商受让产权后建立的外资企业和中外合资经营企业均享受本自治区人民政府规定的外商投资的各种优惠待遇。
第十六条 被出让企业的在职职工安置应在成交过程中达成协议。对要求离厂的职工,允许按有关规定办理调动。其他未被录用的职工(包括合同制职工)由原企业的主管部门商请当地劳动部门、人事部门和人才交流服务机构协助安置。职工本人应服从分配,上述职工及自愿离职的职
工六个月内工资和其他福利待遇不变,由出让方负责。被聘用的职工的各项待遇,应按照外资企业职工福利待遇的有关规定执行。
第十七条 对被出让企业的离、退休职工的安置,应根据企业现有离退休职工的人数,参照历史数据,确定离、退休职工享受离、退休待遇的平均年限、人均退休金、医疗费、丧葬费、困难补助费等,计算出离退休职工劳保费用总额,相应增加出让底价,由原出让方一次性向劳动部门
的社会保险机构或系统的保险机构交付劳保统筹资金。上述离、退休职工的退休工资、劳保费用即由劳动部门的社会保险机构或系统的保险机构支付。
第十八条 企业出让产权所得的资金,应先交纳所欠税款,其次是归还银行贷款,然后用于清理债务、安置出让企业的在职职工和交付离退休职工的社会保险统筹基金以及其他必要的支出,所余资金(包括利息)由同级国有资产管理部门(未成立的,由同级财政部门)列为专项基金,
用于行业技术改造和设备更新。具体使用项目由企业主管部门与同级国有资产管理部门(未成立的,由同级财政部门)共同商定。
原实行资金分账制的企业出让产权所得资金,属于企业自有资金部分,应先归还完不成上缴任务的利润(所得税),其余部分,属于企业产权全部转让的,应上交企业主管部门,用于本系统的技术改造;属于企业部分产权转让的,应留给该企业用于增加企业固定资产和补充流动资金。


第十九条 外商受让企业产权后,如需对原企业建筑物进行扩建或重建的,应向城市规划部门办理申报手续。企业如需转产或变更经营范围,应以符合中华人民共和国产业政策为原则,属于中华人民共和国生产许可证受理的,应先办理许可证审批手续并经原出让合同审批部门批准,到
工商行政管理部门办理变更登记手续。
第二十条 外商获得的产权允许转让。转让时应按《中华人民共和国涉外经济合同法》的规定,签订转让合同,报原出让合同审批机关批准,并按规定到原登记机关办理企业产权转让变更登记手续。
第二十一条 出让企业的有关财务处理办法,由财政厅另行规定。
第二十二条 华侨和香港、澳门、台湾同胞在本自治区受让国有企业产权,适用于本办法。
第二十三条 本办法由本自治区国有资产管理部门负责解释。
第二十四条 本办法自发布之日起施行。

第一章  总 则


第一条 为全面加强劳动合同管理,维护社会主义市场经济条件下的劳动秩序,促进劳动关系的和谐发展,根据《中华人民共和国劳动法》(以下简称《劳动法》)及有关法律、法规和规章,结合我市实际,制定本办法。
第二条 本市行政区域内的各类企业、个体经济组织(以下统称用人单位)和与之形成劳动关系的劳动者,适用本办法。
国家机关、事业单位、社会团体和与之建立劳动合同关系的劳动者,依照本办法执行。
第三条 用人单位与劳动者订立劳动合同,必须贯彻平等自愿、协商一致的原则,任何一方不得把自己的意志强加给对方,任何单位和个人不得非法干预。
第四条 有下列情形之一的,属无效劳动合同:
(一)违反法律、法规和规章订立的劳动合同;
(二)采取欺诈、威胁和隐满事实等手段订立的劳动合同;
(三)劳动权利义务不对等,严重损害一方当事人合法权益订立的劳动合同;
(四)未经当事人委托,由一方当事人或第三人代签订立的劳动合同。
(五)损害国家、社会公共利益和第三者利益订立的劳动合同。
第五条 市劳动保障行政部门主管全市劳动合同管理工作,各县、区人民政府劳动保障行政部门负责所辖区域内劳动合同管理工作。
第六条 各级经贸、公安、工商行政管理、乡镇企业管理、工商联、私协、个协等部门和组织应采取积极有效措施,支持和配合劳动保障部门做好对用人单位的劳动合同管理工作。


第二章 劳动合同签订、鉴证和履行


第七条 用人单位招用劳动者,应到当地劳动保障行政部门办理录用备案手续;与劳动者建立劳动关系,必须按照《劳动法》第十六条、第十九条规定,以书面形式订立劳动合同,明确双方权利和义务。
第八条 用人单位与劳动者依照《劳动法》第二十条规定,经协商一致,可以订立有固定期限、无固定期限和以完成一定工作任务为期限的劳动合同。对劳动者在同一用人单位连续工作满10年以上,当事人双方同意续签劳动合同的,如果劳动者提出订立无固定期限的劳动合同,用人单位应当与其订立无固定期限的劳动合同。
第九条 用人单位签订劳动合同的对象为:企业全体职工,国家机关、事业单位、社会团体和与之建立劳动合同关系的劳动者。
第十条 各类企业的厂长、经理和党组织主要负责人,应与其任命、聘任部门签订劳动合同。实行公司制企业的厂长、经理,应按照《中华人民共和国公司法》规定与董事会签订劳动合同。
第十一条 用人单位与劳动者可依照《劳动法》第二十一条规定,在劳动合同中约定试用期,试用期最长不得超过六个月。试用期包含在劳动合同期限内,从劳动合同生效时间算起。劳动合同期限在六个月以下的,试用期不得超过15日;劳动合同期限在六个月以上一年以下的,试用期不得超过30日;劳动合同期限在一年以上两年以下的,试用期不得超过60日;二年以上的,试用期不得超过六个月。用人单位与劳动者续订劳动合同,对改变工种的,应当在劳动合同中重新规定试用期,不改变工种的,不再规定试用期。
第十二条 劳动合同生效时间,一般应从双方当事人在劳动合同上签字之日起计算;如果双方当事人在劳动合同中规定了生效日期,则从规定的生效日期起计算。
劳动合同期限最后一天的截止时间,应以劳动合同期限最后一天的24时为准。
第十三条 下列情况,用人单位与劳动者必须在30日内签订劳动合同,并办理鉴证手续:
(一)用人单位与新招用人员,自确定录用之日起;
(二)用人单位与新调入职工,自职工报到之日起;
(三)用人单位与国家政策性安置的复员退伍军人、军队转业干部、大中专和技工学校毕业生,自报到之日起。
第十四条 用人单位招用职工时应查验其终止、解除劳动合同证明,以及其他能证明该职工与任何用人单位不存在劳动关系的凭证,方可与其签订劳动合同。
第十五条 劳动合同鉴证必须遵循“依法鉴证、保证质量、体现服务”的原则。劳动合同由用人单位所在地的劳动保障行政部门的劳动仲裁机构(以下简称仲裁机构)鉴证。劳动合同鉴证应审查下列内容:
(一)当事人双方是否具备签订劳动合同的主体资格;
(二)劳动合同内容是否符合国家劳动法律、法规和政策;
(三)当事人双方是否在平等自愿和协商一致的基础上签订劳动合同;
(四)劳动合同条款是否完备,双方的权利和义务是否明确;
(五)中外文劳动合同文本是否一致。
第十六条 申请劳动合同鉴证时,劳动合同双方当事人应提交下列材料:
(一)签订的劳动合同文本和企业申请劳动合同鉴证职工花名册二份;
(二)用人单位为法人的,应提供其法定代表人身份证明或授权委托书;用人单位不是法人的,应提供其主要负责人的身份证明或授权委托书和国家工商行政管理部门颁发的营业执照;
(三)劳动者身份证明;
(四)仲裁机构认为需要的其他材料。
第十七条 对审查合格的劳动合同,仲裁机构应予鉴证。对当事人提供的劳动合同文本及证明材料不完备,应通知当事人予以补正。对不真实、不合法的劳动合同,不予鉴证,并向当事人说明理由,在合同文本上注明。对审查不合格的劳动合同,应指导当事人按照要求修改和重新签订,然后办理鉴证手续。
第十八条 仲裁机构对劳动合同予以鉴证后,如发现有误应立即撤销并退还鉴证费,或重新鉴证。
第十九条 对已鉴证的劳动合同,与其依据的政策法规重新调整后有矛盾时,可重新办理鉴证手续,但不再收取鉴证费。
第二十条 劳动合同鉴证为有偿服务,劳动合同当事人应按照国家和省有关规定向仲裁机构缴纳鉴证费,鉴证费由双方当事人分担。
第二十一条 劳动合同依法订立即具有法律约束力,当事人双方必须严格履行劳动合同规定的义务。


第三章 劳动合同的变更、解除、终止及续订


第二十二条 有下列情形之一的,经当事人双方协商一致,可以变更劳动合同的相关内容:
(一)用人单位转产或调整生产任务的;
(二)订立劳动合同时所依据的客观情况发生重大变化,致使原劳动合同无法履行的;
(三)由于不可抗力致使劳动合同无法继续履行的;
(四)变更劳动合同,应从一方当事人提出变更劳动合同之日起30日内,签订变更劳动合同协议,并注明生效日期。变更劳动合同协议经仲裁机构鉴证后,与原劳动合同具有同等效力。变更劳动合同也不再收取鉴证费。
第二十三条 根据《劳动法》第二十四条规定,经当事人双方协商一致,劳动合同可以解除。
第二十四条 用人单位解除劳动合同,必须严格按照《劳动法》第二十五条、第二十六条、第二十七条规定执行。
第二十五条 劳动者有《劳动法》第二十九条规定情形之一的,用人单位不得解除劳动合同。
第二十六条 用人单位解除劳动合 同,工会认为不适当的,有权提出意见。如果用人单位违反法律、法规或劳动合同,工会有权要求重新处理;劳动者申请仲裁或提起诉讼的,工会应给予支持和帮助。
第二十七条 劳动者解除劳动合同,必须严格按照《劳动法》第三十一条、第三十二条规定执行。
第二十八条 有下列情形之一的,劳动合同应当终止:
(一)劳动合同期满或者当事人约定的劳动合同终止条件出现的;
(二)劳动关系主体一方消亡的;
(三)仲裁裁决或人民法院判决不予履行的;
(四)法律、法规规定应当终止的。
第二十九条 劳动合同期限届满,因用人单位生产、经营(工作)需要,经双方当事人协商同意,可以续订劳动合同。


第四章 劳动合同解除、终止、续订的办理程序


第三十条 用人单位根据《劳动法》第二十五条规定,与劳动者解除劳动合同的,应自决定解除劳动合同之日起0日内下达《解除劳动合同通知书》。
第三十一条 用人单位根据《劳动法》第二十四条、第二十六条、第二十七条解除劳动合同的,应提前30日开具《解除劳动合同通知书》。
第三十二条 劳动合同期满,用人单位不愿与劳动者续订劳动合同,应提前30日开具《终止劳动合同通知书》;用人单位确定与劳动者续订劳动合同的,应提前30日开具《续订劳动合同征求意见书》,征求劳动者意见。10日内劳动者未做出答复的,按终止劳动合同办理;劳动者愿意续订的,用人单位应于劳动合同期满前10日内办理续订手续。
第三十三条 用人单位与劳动者解除、终止劳动合同应办理有关手续,并为劳动者开具《解除(终止)劳动合同证明书》,注明解除、终止劳动合同原因,并报所在地劳动保障行政部门的劳动仲裁机构备案。
上述通知书、意见书和证明书送达劳动者时,用人单位与劳动者应履行送达手续。劳动者收到用人单位解除或终止劳动合同的书面决定和证明书后,应在30日内持单位发给的有关证明材料和身份证到劳动保障机构申请办理失业登记手续,按规定享受失业保险。


第五章 用人单位劳动合同管理


第三十四条 用人单位应建立健全内部规章制度,把日常工作考核、工资管理、工时休假、保险福利、职工奖惩、劳动纪律等规章制度 与劳动合同履行密切衔接起来,更好地发挥劳动合同管理作用。
第三十五条 用人单位应设立《劳动合同订立情况台帐》,记录劳动者自进入企业后劳动合同的订立、变更、续订、终止、解除过程的基本情况。
第三十六条 用人单位在填写台帐时,应按合同到期年度将签订不同期限劳动合同的劳动者分序造册,详细反映本单位劳动合同期限构成情况,以便根据劳动者劳动合同到期数量、 性别、年龄结构,做好续订或终止劳动合同的工作。
第三十七条 用人单位要为劳动者建立《劳动合同卡》,详细记录劳动者劳动合同订立、变更、续订、解除、终止等情况。本卡每位劳动者一份,由用人单位的劳动合同管理部门负责填写并统一保管。劳动者与用人单位解除(终止)劳动合同后,本卡随劳动者本人档案一并转移。


第六章 违反劳动合同的责任和劳动争议处理


第三十八条 当事人一方或双方违反劳动合同,给对方造成损害的,根据其后果和责任大小,依法承担赔偿责任。
第三十九条 用人单位故意拖延不与劳动者订立劳动合同或未按劳动合同规定的条件擅自解除劳动合同,以及违反劳动合同规定,侵害劳动者合法权益的,依照《劳动法》第九十八条和劳动部颁布的《违反〈中华人民共和国劳动 法〉行政处罚办法》、《违反〈劳动法〉有关劳动合同规定的赔偿办法》的有关规定,承担相应行政责任、民事责任。
第四十条 用人单位招用尚未解除劳动合同的劳动者,对原用人单位造成经济损失的,应当依法承担连带赔偿责任。
第四十一条 因履行、变更、解除和续订劳动合同发生的争议,当事人双方应当及时协商解决。协商不成时,当事人可以向本单位劳动争议调解委员会申请调解;调解不成,当事人一方要求仲裁的,可以向当地劳动争议仲裁委员会申请仲裁。当事人一方也可以直接向劳动争议仲裁委员会申请仲裁。对仲裁裁决不服的,可以向人民法院提起诉讼。


第七章 附 则


第四十二条 本办法由市劳动和社会保障局负责解释。
第四十三条 本办法自2002年5月20日起施行。

with
  sfaction the friendly relations existing between the two 
Governments
  peoples in recent years and agreed that a proper negotiated
settlement
  he question of Hong Kong, which is left over from the past, is 
con-
  ve to the maintenance of the prosperity and stability of Hong Kong
and
  he further strengthening and development of the relations between 
the
  countries on a new basis. To this end, they have, after talks 
between
  delegations of the two Governments, agreed to declare as follows:
  
  he Government of the People's Republic of China declares 
that to
  ver the Hong Kong area (including Hong Kong Island, Kowloon and 
the
  Territories, hereinafter referred to as Hong Kong) is the 
common
  ration of the entire Chinese people, and that it has decided to
resume
  exercise of sovereignty over Hong Kong with effect from 1 July
1997.

  to the People's Republic of China with effect from 1 July 1997.
  
  he Government of the People's Republic of China declares 
that the
  c policies of the People's Republic of China regarding Hong Kong

  The Hong Kong Special Administrative Region will be directly

  a. The Hong Kong Special Administrative Region will enjoy 
a high
  ee of autonomy, except in foreign and defence affairs which are

  onsibilities of the Central People's Government.
  The Hong Kong Special Administrative Region will be 
vested with
  utive, legislative and independent judicial power, including 
that of
  l adjudication. The laws currently in force in Hong Kong will 
remain
  cally unchanged.
  The Government of the Hong Kong Special Administrative Region
will be
  osed of local inhabitants. The chief executive will be 
appointed by
  Central People's Government on the basis of the results of 
elections
  onsultations to be held locally. Principal officials will be
nominated
  he chief executive of the Hong Kong Special Administrative Region 
for
  intment by the Central People's Government. Chinese and 
foreign
  onals previously working in the public and police services 
in the
  rnment departments of Hong Kong may remain in employment. British 
and
  r foreign nationals may also be employed to serve as advisers or 
hold
  ain public posts in government departments of the Hong Kong 
Special
  nistrative Region.
  The current social and economic systems in Hong Kong will 
remain
  anged, and so will the life-style. Rights and freedoms, 
including
  e of the person, of speech, of the press, of assembly, of
association,

  The Hong Kong Special Administrative Region may establish

  ficial economic relations with the United Kingdom and other
countries,
  e economic interests in Hong Kong will be given due regard.
  Using the name of "Hong Kong, China", the Hong Kong 
Special
  nistrative Region may on its own maintain and develop 
economic and
  ural relations and conclude relevant agreements with states, 
regions
  relevant international organizations. The Government of the
Hong Kong
  ial Administrative Region may on its own issue travel 
documents for
  y into and exit from Hong Kong.
  The maintenance of public order in the  Hong  Kong 
Special
  nistrative Region will be the responsibility of the Government
of the
  Kong Special Administrative Region.
  The above-stated basic policies of the People's Republic of 
China
  rding Hong Kong and the elaboration of them in Annex I to this 
Joint
  aration will be stipulated, in a Basic Law of the Hong Kong 
Special
  nistrative Region of the People's Republic of China, by the 
National
  le's Congress of the People's Republic of China, and they will 
remain
  anged for 50 years.
  
  he Government of the United Kingdom and the Government of the
People's
  blic of China declare that, during the transitional period
between the
  of the entry into force of this Joint Declaration and 30 June 
1997,
  Government of the United Kingdom will be responsible 
for the
  nistration of Hong Kong with the object of maintaining and 
preserving
  economic prosperity and social stability; and that the 
Government of
  People's Republic of China will give its cooperation 
in this

  blic of China declare that, in order to ensure a smooth 
transfer of
  rnment in 1997, and with a view to the effective 
implementation of
  Joint Declaration, a Sino-British Joint Liaison Group will be set

  this Joint Declaration enters into force; and that it 
will be
  blished and will function in accordance with the provisions of 
Annex

CHINA OF ITS BASIC POLICIES REGARDING HONG KONG
  
  Government of the People's Republic of China elaborates the 
basic
  cies of the People's Republic of China regarding Hong Kong as set 
out
  aragraph 3 of the Joint Declaration of the Government of the 
United
  dom of Great Britain and Northern Ireland and the Government of 
the
  le's Republic of China on the Question of Hong Kong as follows:
  
  
  Constitution of the People's Republic of China stipulates in 
Article
  hat "the state may establish special administrative 
regions when
  ssary. The systems to be instituted in special administrative 
regions
  l be prescribed by laws enacted by the National People's 
Congress in
  light of the specific conditions." In accordance with this 
Article,
  People's Republic of China shall, upon the resumption of the 
exercise
  overeignty over Hong Kong on 1 July 1997, establish the Hong 
Kong
  ial Administrative Region of the People's Republic of China.  
The
  onal People's Congress of the People's Republic of China shall 
enact
  promulgate a Basic Law of the Hong Kong Special Administrative

  Kong Special Administrative Region to conduct on its own
